AI governance in healthcare is the operational infrastructure that determines how an organization evaluates, approves, deploys, monitors, and retires artificial intelligence applications. It is not a policy document. It is not an ethics statement. It is the set of structures, roles, processes, and decision rights that allow a healthcare organization to adopt AI in a way that is clinically sound, legally defensible, and sustainable over time.

Most healthcare organizations do not have this infrastructure in place. They have individual AI projects managed by individual teams with individual approval processes. The result is inconsistency, duplicated effort, ungoverned risk, and an inability to answer basic institutional questions: how many AI models are currently in production, who approved them, how are they performing, and what happens when one of them fails.

Why Governance Before AI

The instinct in most organizations is to start with the AI use case and figure out governance later. A clinical team identifies a promising application. A vendor demonstrates compelling results. Leadership approves a pilot. Governance is treated as a constraint to be managed rather than a foundation to be built.

This sequence creates problems that compound over time. Each ungoverned deployment establishes its own precedent for how AI decisions are made at the institution. Data access agreements are negotiated on a case-by-case basis. Model validation standards vary by department. Monitoring responsibilities are unclear. When the organization eventually tries to impose governance retrospectively, it faces the much harder problem of standardizing practices across projects that were built without a common framework.

The cost of building governance first is measured in weeks. The cost of retrofitting governance later is measured in years and in the institutional credibility lost when an ungoverned model produces a bad outcome that the organization cannot explain.

The Components of an AI Governance Program

An effective AI governance program in healthcare has five core components. Each serves a distinct function, and none is optional.

Governance committee. This is the body that makes institutional decisions about AI. Its composition matters. A governance committee that is entirely technical will miss clinical and operational implications. One that is entirely clinical will lack the data science expertise to evaluate model validity. The committee should include representation from clinical leadership, data science or informatics, compliance and legal, operations, and information security. In academic medical centers, research leadership should also be represented. The committee needs a defined charter, a regular meeting cadence, and the institutional authority to approve, defer, or reject AI proposals. Advisory committees that can recommend but not decide are insufficient. Governance requires decision rights.

Intake and evaluation framework. Before any AI application reaches the governance committee, it should pass through a structured evaluation that assesses the use case against defined criteria. Those criteria should include clinical validity and evidence basis, regulatory classification, data requirements and availability, integration complexity, patient safety implications, bias and equity considerations, resource requirements for deployment and monitoring, and alignment with organizational strategic priorities. The evaluation framework standardizes the information that the governance committee receives, which makes decisions more consistent and reduces the influence of vendor enthusiasm or departmental advocacy on institutional AI decisions.

Policy framework. The policy framework codifies the standards that apply to all AI applications across the organization. At minimum, it should address data access and usage requirements, model validation and testing standards, clinical workflow integration requirements, transparency and explainability expectations, bias testing and equity monitoring obligations, vendor management and contract requirements, incident response and model failure protocols, and documentation and audit trail requirements. The policy framework does not need to be exhaustive at launch. It needs to be clear about the non-negotiable standards and flexible enough to accommodate the range of AI applications that a healthcare organization will encounter. Policies should be reviewed and updated on a defined schedule, not left static.

HIPAA alignment and regulatory integration. AI governance in healthcare cannot be separated from the regulatory environment in which healthcare organizations operate. HIPAA's minimum necessary standard, the Privacy Rule's provisions around treatment, payment, and healthcare operations, and the Security Rule's requirements for electronic protected health information all apply to AI systems that process patient data. Beyond HIPAA, FDA oversight of clinical decision support software, state transparency laws, and emerging CMS guidance on AI-assisted quality measurement create additional obligations. The governance program must integrate these regulatory requirements into the evaluation framework and policy standards rather than treating compliance as a separate workstream. An AI application that meets every technical and clinical standard but violates HIPAA is not deployable. The regulatory integration needs to be built into the governance process from the beginning, not added as a final review step.

Monitoring and lifecycle management. Approving an AI application for deployment is not the end of the governance responsibility. It is the beginning of a monitoring obligation that persists for the life of the application. The governance program must define what is monitored, how frequently, by whom, and what triggers a review or intervention. Performance metrics should be specific to each application and established at the time of deployment approval. Monitoring should track model performance against validation benchmarks, drift in input data characteristics, changes in clinical workflow or population that affect model applicability, user adoption and override rates, and adverse events or near-misses associated with AI-assisted decisions. The program also needs a defined process for model retirement. AI applications that are no longer performing, no longer supported by the vendor, or no longer aligned with organizational needs should be decommissioned through a governed process, not left running until someone notices a problem.

Common Governance Failures

Understanding how governance programs fail is as important as understanding how to build them. The most frequent failure is the advisory committee that lacks decision authority. When a governance body can recommend but not approve or reject, it becomes a formality that AI projects route around. Governance requires the institutional power to say no.

A second common failure is scope limitation. Some organizations define their AI governance program narrowly enough that it only covers clinical decision support, leaving operational AI applications, administrative automation, and revenue cycle models outside the governance perimeter. These ungoverned applications carry the same data quality, bias, and compliance risks as clinical models. Partial governance creates a false sense of institutional control.

A third failure pattern involves governance processes that are so burdensome that they become an impediment to any AI adoption. When the evaluation framework requires months of documentation for a low-risk application, clinical and operational teams will find ways to avoid the process. Governance needs to be proportionate. High-risk applications warrant extensive review. Lower-risk applications need a streamlined pathway that still maintains institutional visibility and accountability.

Building the Program in Sequence

Healthcare organizations that attempt to build all five components simultaneously often stall because the effort feels overwhelming relative to the immediate AI activity. A more effective approach builds the program in a deliberate sequence.

The governance committee should be established first. Even before the policy framework is complete, having a body with the authority and expertise to make institutional AI decisions changes the quality of those decisions. The committee can begin reviewing AI proposals using a provisional evaluation framework while the formal policy framework is developed.

The intake and evaluation framework comes second. This creates the structured process that ensures the governance committee receives consistent, complete information about each AI proposal. It also signals to the organization that AI adoption now follows an institutional process rather than a departmental one.

The policy framework and regulatory integration are developed in parallel, drawing on the committee's early experience reviewing proposals. Policies should reflect the actual decisions the committee has needed to make, not theoretical scenarios.

Monitoring and lifecycle management build last, timed to coincide with the first governed deployments reaching production. Defining monitoring requirements at the point of deployment approval ensures that the obligation is established before the application goes live, not retrofitted after problems emerge.

Governance Policy Template

For organizations beginning this work, the foundational governance policy should address the following elements. This is not a complete policy. It is the structural outline that a healthcare organization can use as a starting point and adapt to its institutional context.

The scope section defines which AI applications fall under the governance program. This should be broad enough to capture any system that uses machine learning, natural language processing, or algorithmic decision support in clinical, operational, or administrative workflows. Narrow scope definitions create gaps that ungoverned applications exploit.

The roles and responsibilities section names the governance committee, defines its membership and authority, and assigns accountability for each stage of the AI lifecycle: proposal, evaluation, approval, deployment, monitoring, and retirement.

The evaluation criteria section specifies the dimensions against which every AI proposal is assessed. It should include minimum thresholds where appropriate and identify the conditions under which an application requires additional review.

The deployment standards section defines the requirements that must be met before an approved application can move into production. This includes validation completion, integration testing, user training, monitoring plan approval, and documentation.

The monitoring and review section establishes the cadence and metrics for ongoing oversight, the triggers for unscheduled review, and the process for escalating concerns.

The incident response section defines what constitutes an AI-related incident, who is notified, how the investigation is conducted, and what remediation actions are available, including model suspension or retirement.

Vendor Governance as a Subset

A significant portion of AI in healthcare is vendor-supplied, which means governance programs must address the specific challenges of governing technology the organization did not build and does not fully control. Vendor governance includes evaluating the vendor's model development methodology, understanding the training data composition and potential biases, negotiating contractual provisions around model updates and performance guarantees, and establishing the organization's right to audit model performance independently.

Many healthcare AI vendors resist transparency about their models, citing proprietary concerns. A governance program needs a clear institutional position on what level of transparency is required for deployment. That position should be established before vendor negotiations begin, not discovered during them.

The governance program should also address what happens when a vendor relationship ends. Model portability, data return provisions, and transition support are governance considerations that are much easier to negotiate at the outset of a contract than at its termination.

The Connection to Broader Data Governance

AI governance does not exist independently. It depends on and extends the organization's data governance program. Data quality, access controls, stewardship roles, and decision rights all feed directly into AI governance. A healthcare organization cannot govern its AI if it has not governed its data.
